IN ALL CASES, ROUND TABLE PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO ROUND TABLE PIZZA IN THE THIRTY (30) DAYS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE LEGAL THEORY UPON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ROUND TABLE PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold harmless Round Table Pizza, its parent companies, subsidiaries, affiliates, officers, directors, shareholders, employees, contractors, agents, licensors, and service providers (collectively, "Indemnified Parties") from and against any and all claims, actions, demands, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with:

12. Dispute Resolution

12.1 Informal Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or our Services, the parties agree to first attempt to resolve the matter informally. You agree to provide written notice of your dispute to Round Table Pizza at [email protected], describing the nature of the dispute and the relief sought. We will attempt to respond within thirty (30) days of receiving your notice. If the parties are unable to resolve the dispute informally within sixty (60) days of receipt of the initial notice, either party may pursue formal dispute resolution as set forth below.

12.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND PROVIDES FOR RESOLUTION OF DISPUTES THROUGH INDIVIDUAL ARBITRATION RATHER THAN JURY TRIALS OR CLASS ACTIONS.

YOU AND ROUND TABLE PIZZA EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU WAIVE ANY RIGHT TO A JURY TRIAL AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

12.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information, without the requirement to first submit to arbitration.
